Terms of Service

By accessing or using Commerce Synapse ("the Platform"), you agree to be bound by these Terms of Service. If you are using the Platform on behalf of a business, you represent that you have the authority to bind that business to these terms.

If you do not agree with any part of these terms, you may not use the Platform.

Commerce Synapse is a multi-tenant e-commerce platform that enables Indian businesses to create branded online storefronts, manage products, process payments, handle GST compliance, and ship orders across India.

We provide the technology platform, payment processing integration (via Razorpay), shipping integration, GST calculation and invoicing tools, analytics dashboards, and customer management features. You provide the products, brand identity, and order fulfillment.

To use the Platform as a seller, you must create an account and provide accurate, current, and complete business information, including your business name, GSTIN (if applicable), contact information, and bank account details for payouts.

You are responsible for maintaining the confidentiality of your account credentials. You are responsible for all activities that occur under your account.

You must be at least 18 years of age and legally capable of entering into a binding agreement to use the Platform.

As a seller on Commerce Synapse, you agree to: (a) provide accurate product descriptions, pricing, and images; (b) fulfill orders in a timely manner; (c) comply with all applicable Indian laws, including consumer protection laws and the IT Act; (d) maintain valid GST registration where required; (e) not sell prohibited, counterfeit, or illegal goods.

You are solely responsible for the quality, safety, and legality of the products you sell through your storefront. Commerce Synapse does not inspect, endorse, or guarantee any seller products.

You agree to handle customer complaints and returns in accordance with your stated return policy and applicable consumer protection laws.

Payment processing is handled by Razorpay. By using the Platform, you also agree to Razorpay's terms of service. Transaction fees and payment gateway charges apply as per your subscription plan.

Subscription fees are billed monthly or annually as per the plan you select. Prices are listed in Indian Rupees (INR) and are exclusive of GST unless stated otherwise.

We reserve the right to modify pricing with 30 days' advance notice. Continued use of the Platform after a price change constitutes acceptance of the new pricing.

Payouts to sellers are processed according to the settlement schedule defined in your subscription plan, subject to Razorpay's settlement timelines.

You retain ownership of all content you upload to the Platform, including product images, descriptions, and brand assets. By uploading content, you grant Commerce Synapse a non-exclusive, worldwide license to display, distribute, and promote your content as part of operating the Platform and your storefront.

The Commerce Synapse platform, including its design, features, code, and brand, is the intellectual property of Commerce Synapse. You may not copy, modify, distribute, or reverse-engineer any part of the Platform.

The storefront themes provided by Commerce Synapse are licensed for use on the Platform only and may not be extracted or used elsewhere.

Our collection and use of personal information is governed by our Privacy Policy. By using the Platform, you consent to the practices described in the Privacy Policy.

You are responsible for complying with applicable data protection laws when handling customer information obtained through your storefront.

You agree not to: (a) use the Platform for any unlawful purpose; (b) sell counterfeit, stolen, or illegal products; (c) engage in price manipulation or misleading advertising; (d) attempt to access other sellers' accounts or data; (e) interfere with or disrupt the Platform's infrastructure; (f) scrape, crawl, or automated-harvest data from the Platform; (g) use the Platform to send unsolicited communications (spam).

We may suspend or terminate your account if you violate these terms, engage in fraudulent activity, receive excessive customer complaints, or if required by law.

You may cancel your account at any time through your dashboard or by contacting support. Upon cancellation, your storefront will be deactivated. We will process any pending payouts according to the standard settlement schedule.

Sections related to intellectual property, limitation of liability, and dispute resolution survive termination.

Commerce Synapse provides the Platform on an "as is" and "as available" basis. We do not guarantee uninterrupted access, error-free operation, or that the Platform will meet all your requirements.

To the maximum extent permitted by law, Commerce Synapse shall not be liable for any indirect, incidental, special, consequential, or punitive damages, including loss of profits, data, or business opportunities, arising from your use of the Platform.

Our total liability for any claim arising from these terms or your use of the Platform shall not exceed the total fees paid by you to Commerce Synapse in the 12 months preceding the claim.

These terms are governed by the laws of India. Any disputes arising from these terms or your use of the Platform shall be subject to the exclusive jurisdiction of the courts in Bengaluru, Karnataka, India.

Before initiating formal proceedings, both parties agree to attempt resolution through good-faith negotiation for a period of at least 30 days.

We may modify these terms from time to time. When we make material changes, we will notify you by email or through a prominent notice on the Platform at least 15 days before the changes take effect.

Your continued use of the Platform after changes are posted constitutes your acceptance of the revised terms.
